## 1. Acceptance of Terms

By downloading, installing, or using the Home TLC mobile application ("App") or accessing any related services provided by Katalyst AI ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the App.

## 2. Description of Service

Home TLC is a home maintenance management platform that allows homeowners and service professionals to photograph rooms, track appliances and fixtures, schedule maintenance tasks, manage service records, request and approve estimates, and coordinate home repair work. The App serves two primary user roles: Homeowners who manage their own properties, and Professionals (handymen, property managers, plumbers, landscapers, and other service providers) who manage maintenance for multiple client homes.

## 3. Eligibility

You must be at least 18 years of age to create an account and use the App. By using the App, you represent and warrant that you meet this age requirement.

## 4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as needed. You must notify us immediately of any unauthorized use of your account.

## 5. User Roles and Responsibilities

**Homeowners** are responsible for the accuracy of property information they enter, including addresses, room details, and appliance data. Homeowners may invite professionals to manage their properties and may approve or decline estimates and task assignments.

**Professionals** are responsible for providing accurate estimates, completing assigned tasks in a timely manner, and maintaining professional standards of service. Professionals may be invited to manage properties by homeowners and may submit estimates for requested work.

The App facilitates connections and communication between homeowners and professionals. Katalyst AI is not a party to any service agreement between homeowners and professionals, does not employ or endorse any professional, and is not responsible for the quality, safety, or legality of any work performed.

## 6. SMS Messaging Terms

**Program Name:** Home TLC

By providing your phone number and agreeing to receive messages, you consent to receive SMS notifications from Home TLC related to your use of the platform. These messages may include task assignment invitations, maintenance reminders, appointment confirmations, estimate notifications, and service updates.

**Message Frequency:** Message frequency varies based on your account activity. You may receive messages when tasks are assigned, estimates are submitted, appointments are scheduled, or maintenance reminders are due.

**Message and Data Rates:** Standard message and data rates may apply depending on your mobile carrier plan.

**Opt-Out:** You may opt out of SMS messages at any time by replying **STOP** to any message you receive from Home TLC. After opting out, you will receive a confirmation message and will no longer receive SMS notifications. You may still receive messages through the App's in-app notification system.

**Supported Carriers:** Messages are sent via standard SMS and are supported by all major US carriers. Katalyst AI is not responsible for delayed or undelivered messages caused by carrier issues.

## 7. AI-Powered Features

The App uses artificial intelligence to detect and identify appliances and fixtures from room photographs. AI detections are provided as suggestions and may not be fully accurate. Users are responsible for reviewing, editing, and confirming all AI-generated results before relying on them. Katalyst AI makes no warranty regarding the accuracy or completeness of AI detections.

## 8. Estimates and Payments

The App facilitates the exchange of estimates between homeowners and professionals. Katalyst AI does not set pricing, does not process payments between users, and does not guarantee the accuracy of any estimate provided through the platform. All financial transactions and agreements are solely between the homeowner and the professional.

## 9. User Content

You retain ownership of all content you upload to the App, including photographs, documents, notes, and property information. By uploading content, you grant Katalyst AI a limited, non-exclusive license to store, process, and display your content solely for the purpose of providing the App's services to you. We will not sell or share your content with third parties for marketing purposes.

## 10. Prohibited Uses

You agree not to use the App to: upload false or misleading property information; impersonate another person or entity; harass, abuse, or harm other users; attempt to gain unauthorized access to other users' accounts or data; use the platform for any unlawful purpose; or reverse engineer, decompile, or disassemble any part of the App.

## 11. Intellectual Property

The App, including its design, code, features, and branding, is the property of Katalyst AI and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App without our written consent.

## 12. Privacy

Your use of the App is also governed by our Privacy Policy, available at https://katalystai.io/privacy. By using the App, you consent to the collection and use of your information as described in the Privacy Policy.

## 13. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied. Katalyst AI does not warrant that the App will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy of AI detections, maintenance recommendations, or any other information provided through the App.

## 14. Limitation of Liability

To the maximum extent permitted by law, Katalyst AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App. This includes, without limitation, damages arising from reliance on AI detections, estimates provided by professionals, or maintenance recommendations. Our total liability shall not exceed the amount you have paid to us in the twelve months preceding the claim.

## 15. Indemnification

You agree to indemnify and hold harmless Katalyst AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of your use of the App, your violation of these Terms, or your violation of any rights of a third party.

## 16. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion. You may delete your account at any time through the App's settings. Upon termination, your right to use the App ceases immediately, though provisions that by their nature should survive termination will remain in effect.

## 17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the App or via email. Your continued use of the App after changes are posted constitutes acceptance of the revised Terms.

## 18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.
